These terms are a binding agreement between you and Fides. By creating an account or using Fides, you accept them, together with our Privacy Policy, Refunds Policy and Acceptable Use Policy. If you do not accept them, do not use Fides.
About Fides
Fides is a platform where people buy digital products and services from independent sellers. Buyers pay with Fids, a prepaid balance bought with US dollars. Sellers earn revenue in Fids when buyers purchase from them, and can withdraw that revenue as USD payouts.
Who can use Fides
- You must be at least 13. If you are under 18, you may use Fides only with the consent of a parent or legal guardian, who agrees to these terms for you and is responsible for your use. We may close accounts we believe belong to someone under 13.
- To withdraw payouts, you must be at least 18, or the age of majority where you live, and pass identity verification. We may ask you to prove your age or identity at any time.
- You may not use Fides if the law forbids it, if you are subject to trade or economic sanctions, or if you are in a place under comprehensive sanctions.
Your account
You log in with Google. Give accurate information and keep it current. You are responsible for the security of your Google account and for everything that happens on your Fides account. If you think someone else has accessed it, tell us right away at support@fides.lol.
One person may hold one account. You may not open extra accounts to abuse offers or to get around a suspension or ban.
Fids
- Fids are a prepaid balance for buying from sellers on Fides. They are not money, currency, cryptocurrency, a deposit, stored value or an investment, and they earn no interest.
- You get a limited, personal, revocable right to spend Fids on Fides. You do not own Fids as property, and they have no cash value.
- Fids you buy cannot be cashed out, withdrawn or exchanged for money or anything else, by any means.
- Fids purchases cannot be refunded, except where the law requires a refund or Fides decides in its own discretion that a request is eligible. See the Refunds Policy.
- There are no transfers between users. Fids change hands only when a buyer pays a seller for a purchase on Fides.
- Fids work only on Fides. Using, accepting, buying, selling, trading or advertising Fids anywhere else, including on other platforms, is not allowed, and we may have such listings and offers taken down.
- Fids are sold at rates that depend on the package, plan or offer. Platform rates and fees apply and are shown before you pay. They can change, but changes do not affect purchases already made.
- We may remove or correct Fids that were added by mistake, obtained through fraud or abuse, or tied to a payment that was reversed, disputed or charged back. If that happens after you spent them, we may suspend your account, let your balance go below zero, and recover the amount.
- If your account is closed, by you or by us under these terms, you lose any unspent Fids. They are not refunded unless the law requires it.
- We may change how Fids work for future use. We will give notice before a material change affects Fids you already hold.
Buying
When you buy a product, you pay in Fids, and prices are shown in Fids. Fides handles checkout and payment. Where Fides is the merchant of record for a sale, it collects and remits sales tax and VAT where required. You are responsible for any other taxes on what you buy.
The seller, not Fides, is responsible for the product, its description, its updates and its support. The seller licenses the product to you on the terms shown with it, for your own use unless they say otherwise. Digital products are delivered at once, so purchases are generally final.
Plans and subscriptions
Paid plans renew automatically each period until you cancel. The price, billing period and what a plan includes are shown before you subscribe. You can cancel at any time. The plan stays active until the end of the paid period, and the current period is not refunded except where the law requires. We may change plan prices with advance notice, and the new price applies from your next renewal. Fids that a plan adds follow the rules for Fids above.
Selling and payouts
- You can open a store and sell for Fids without a Stripe account. Your store must first pass the idea check, and everything you sell must follow the Acceptable Use Policy.
- You may list only products you own or have the right to sell, that are legal, and that are described accurately. You are responsible for your products, for delivering and supporting them, and for your own taxes. We do not promise any amount of sales or revenue.
- You earn Fids revenue when buyers purchase your products. You can spend that revenue on other creators' products on Fides, or withdraw it as a USD payout.
- To withdraw, you need a Stripe Connect account and must verify your identity with Stripe. Stripe's own terms apply to that account. We may refuse or end your ability to withdraw if we cannot verify you.
- Payouts go to your verified Stripe account, converted at the seller payout rate in effect on the date and time of the payout. Fides sets that rate, it changes over time, and it is shown before you confirm.
- Fees, limits and timing apply to payouts and are shown before you withdraw. We may set minimum and maximum payout amounts.
- Your first withdrawal request is checked by our staff, and we may review your account from time to time. You cannot withdraw while a review is running. The reviews are described in the Acceptable Use Policy.
- A payout pays out your sales revenue. It is not an exchange or redemption of Fids, and Fids held by buyers can never be converted to money.
- We may delay, hold, reduce or reverse payouts for fraud, chargebacks, refunds, disputes, missing verification, reviews, legal requirements or breaches of these terms. If you owe us money, we may take it from future revenue or charge you for it.
- Where the law requires, we may withhold taxes from payouts and report your earnings to tax authorities.
Your content and our license
You keep ownership of what you upload or submit, such as product files, descriptions, images, names and reviews ("your content"). You give Fides a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, display, distribute and promote your content as needed to run, secure, improve and market Fides and the products you sell. The license lasts while your content is on Fides, and afterwards for backups and for copies already delivered to customers. You confirm that you have the rights needed to give it. If you send us ideas or feedback, we may use them freely without paying you or crediting you.
Acceptable use
The Acceptable Use Policy sets out what can and cannot be sold on Fides and how stores are reviewed, and it is part of these terms. In addition, do not use Fides to:
- break the law, or sell illegal, stolen, malicious or infringing content;
- harass, deceive or harm others, or upload content that exploits minors;
- commit fraud, launder money, use stolen payment methods or abuse chargebacks;
- avoid identity verification, sanctions or other legal checks;
- buy, sell, trade, gift or advertise Fids or accounts, or use Fids outside Fides;
- probe, overload, scrape or interfere with Fides, or bypass its security;
- misrepresent who you are.
We may remove content, hold funds, and suspend or close accounts that break these rules, and we may report illegal activity to the authorities. To report content that infringes your rights or breaks these terms, email support@fides.lol with enough detail for us to find it.
Our property
Fides, its software, design and branding belong to us or our licensors. You may not copy, modify or reverse-engineer them except as the law allows.
Third parties and availability
Fides relies on third-party services, such as Google for log in and Stripe for payments and payouts. We do not control them and are not responsible for their terms, content or outages.
We work to keep Fides running, but we do not promise that it will always be available, uninterrupted, error-free or secure. We may change, suspend or stop any part of Fides, for example for maintenance, outages or reasons outside our control.
Disclaimer
Fides is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular result from using Fides, including sales. Nothing on Fides, including what sellers publish, is legal, financial, tax or medical advice.
Limit of liability and indemnity
To the fullest extent the law allows, Fides and its team are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. We are not liable for what sellers sell, for how buyers or sellers behave, for failures of third-party services, or for unauthorized access to your account that we could not reasonably have prevented. If you have a dispute with a seller or another user, you release Fides and its team from claims and damages connected to it, to the extent the law allows. Our total liability for any claim relating to Fides is limited to the greater of what you paid Fides in the 12 months before the claim or $100. Nothing here limits liability that cannot be limited by law.
You agree to cover claims, losses and costs (including reasonable legal fees) that arise from your content, your products, your breach of these terms, or your violation of any law or third-party right.
Ending your account
You can stop using Fides and close your account at any time. We can suspend or close your account if you break these terms, create risk or legal exposure for us or others, or if we stop offering Fides. Where the law allows, we may also refuse service to anyone, and close accounts that have been inactive for a long time after giving notice. What happens to unspent Fids is covered under Fids above. Sections that by their nature should survive, such as content licenses, disclaimers, liability limits and indemnity, survive.
Changes to these terms
We may update these terms. If a change is material, we will give notice, for example by email or in the app, before it takes effect. If you keep using Fides after that, you accept the change. If you do not accept it, stop using Fides and close your account.
Disputes and governing law
Please email us first so we can try to settle a problem informally. These terms are governed by the laws of the jurisdiction where Fides is established, without regard to conflict-of-law rules, and the courts there have exclusive authority over disputes.
To the extent the law allows, you agree to bring claims only on your own behalf and not as part of a class or group action, and to bring any claim within one year after it arises. Nothing here removes rights that consumer protection law gives you, including the right to bring a claim in your home country.
General
These terms, together with the Privacy Policy, Refunds Policy and Acceptable Use Policy, are the whole agreement between you and Fides. If part of them is found unenforceable, the rest stays in effect. We are not liable for delay or failure caused by events outside our reasonable control. You agree to use electronic records and signatures. If these terms are translated, the English version controls. If we do not enforce a term, we have not waived it. You may not transfer your account or your rights under these terms. We may transfer ours, for example in a merger or sale. We may contact you by email or in the app, and that counts as written notice.
